About the Workshop
This intensive online M&A Workshop is designed for young and mid-level Chartered Accountants, LLB graduates, Advocates, and corporate/legal professionals who want to move beyond theory and understand how real deals are structured, documented, and closed in India. The focus is on practical skills that you can immediately apply in transactions handled by small and mid-sized firms.
What You Will Learn
By the end of the workshop, you will be able to:
- Understand the full M&A deal lifecycle: from strategy, term sheet, and due diligence to definitive agreements, closing, and post-deal compliance.
- Read and analyse key transaction documents: Term Sheet, Share Purchase Agreement (SPA), Shareholders’ Agreement (SHA), and Business Transfer Agreement (BTA), with a clause-by-clause understanding.
- Identify and negotiate critical clauses: valuation and pricing, conditions precedent, representations and warranties, indemnities, drag/tag rights, ROFR/ROFO, anti-dilution, and exit mechanisms.
- Grasp the core regulatory framework: Companies Act, SEBI Takeover Code, SEBI LODR, Competition Act (CCI), basic FEMA and tax implications relevant to M&A.
- Get a clear roadmap to start or scale an M&A-focused practice from a small or mid-sized firm, including client acquisition, fee models, and internal systems.

About the Facilitator
The workshop is conducted by a practising Chartered Accountant and Lawyer who has built an M&A advisory practice from a small firm set-up, handling mid-market transactions, buy-outs, and strategic investments in India. The teaching approach blends black-letter law (Companies Act, SEBI, tax) with practical deal experience, negotiation insights, and constraints of a small firm.
